Terms & Conditions

These Terms and Conditions ("Terms") form a binding agreement between you and LandAtlas ("LandAtlas", "we", "us", or "our") and govern your access to and use of the LandAtlas platform, website, applications, and related services (collectively, the "Services").

By creating an account, subscribing to a plan, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services.

If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate, current, and complete information when registering and to keep that information up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

• One account per user unless a team or multi-seat plan expressly permits otherwise.
• Credentials may not be shared, sold, or transferred to any third party.
• You are responsible for the conduct of any team member you invite to your workspace.
• We may suspend or terminate accounts that appear compromised, fraudulent, or in breach of these Terms.

LandAtlas provides tools for land investors and wholesalers, including buyer discovery and matching, market and permit intelligence, deal pipeline management, joint venture tools, and contract preparation and delivery.

We continuously improve the Services and may add, modify, or discontinue features at any time. Where a change materially reduces the core functionality of a paid plan, we will use commercially reasonable efforts to notify you in advance.

Certain features require a paid subscription or the use of credits. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis for the plan you select, plus applicable taxes, until you cancel.

• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• You may cancel at any time from your account settings; access continues through the end of the paid period.
• Except where required by law, fees already paid are non-refundable and partial periods are not prorated.
• Credits are consumed when the associated action is performed, have no cash value, and are not redeemable for cash.
• We may change pricing on renewal with reasonable prior notice. Continued use after the change takes effect constitutes acceptance.
• Failed or reversed payments may result in suspension of access until the balance is settled.

You agree to use the Services lawfully, professionally, and in a way that respects the privacy and rights of the buyers, sellers, and partners whose information you access. You must not:

• Scrape, harvest, export, resell, sublicense, or redistribute buyer data, permit records, or any other platform data outside your own business use.
• Use the Services to send unsolicited bulk messages or to communicate in a way that violates anti-spam, telemarketing, or do-not-call laws.
• Reverse engineer, decompile, or attempt to derive the source code or underlying models of the Services.
• Circumvent rate limits, access controls, credit systems, or any other technical restriction.
• Upload malicious code, or content that is unlawful, fraudulent, defamatory, or infringing.
• Misrepresent your identity, your authority to transact, or your relationship with any property or party.
• Use automated systems to access the Services in a way that degrades performance for other users.

We may investigate suspected violations and may suspend or terminate access, remove content, and cooperate with law enforcement where appropriate.

The Services surface information compiled from public records, building permit filings, and other third-party and proprietary sources, and enrich it using automated scoring and matching.

Public records and permit data change over time and may be incomplete, delayed, or inaccurate at the source. Scores, matches, and rankings are informational signals produced by automated systems, not assurances of a buyer's interest, financial capacity, or willingness to transact.

Where you contribute data to the platform, you grant us a non-exclusive licence to host, process, and display that data to operate the Services, and you confirm you have the right to provide it.

The Services include tools to prepare, send, and track contracts, and to collect electronic signatures through integrated e-signature providers.

• Templates and generated documents are provided for convenience and are not legal advice or a substitute for review by a qualified attorney in the relevant jurisdiction.
• You are responsible for the accuracy, completeness, and enforceability of every document you send, including all field values, terms, and party details.
• You are responsible for confirming that each recipient is authorized to sign and that electronic signature is valid for that document and jurisdiction.
• Executed documents are stored to provide the Services; you remain responsible for retaining your own records.
• We do not verify the identity of signers beyond the controls offered by the e-signature provider.

The Services, including all software, models, scoring logic, interfaces, text, graphics, and the LandAtlas name and marks, are owned by us or our licensors and are protected by intellectual property laws.

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes. No other rights are granted.

You retain ownership of the content and data you upload. Any feedback you provide may be used by us without restriction or obligation.

The Services integrate with third-party providers for payments, e-signature, mapping, communications, and data enrichment. Your use of those integrations may be governed by the third party's own terms and privacy policies.

We are not responsible for the availability, accuracy, or conduct of third-party services, and their failure or interruption may affect parts of the Services.

Nothing on the platform constitutes legal, tax, financial, appraisal, or investment advice. You are responsible for complying with all laws applicable to your activities, including real estate licensing, wholesaling, assignment, disclosure, advertising, and consumer protection requirements in every jurisdiction where you operate.

You should consult qualified professionals before entering into any transaction.

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that data will be accurate or current, or that any result, match, lead, or transaction outcome will be achieved.

To the maximum extent permitted by law, LandAtlas and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost deals, lost data, or business interruption, arising out of or relating to your use of the Services.

Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of the amounts you paid to us in the twelve months preceding the event giving rise to the claim, or one hundred US dollars.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to indemnify and hold harmless LandAtlas and its officers, employees, and suppliers from any claims, damages, liabilities, and reasonable legal fees arising out of your use of the Services, your content or data, your transactions with third parties, or your breach of these Terms or applicable law.

These Terms apply for as long as you use the Services. You may stop using the Services and close your account at any time.

We may suspend or terminate your access immediately, without notice, if you breach these Terms, if your use creates risk or legal exposure, or if required by law. On termination, your licence to use the Services ends and we may delete your data after a reasonable retention period.

Sections that by their nature should survive termination will survive, including those covering intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

We may update these Terms from time to time. When we do, we will revise the effective date above and, for material changes, provide reasonable notice through the platform or by email.

Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you should stop using the Services and cancel your subscription.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to informal resolution.

Before filing a claim, you agree to first contact us and attempt to resolve the dispute informally for at least thirty days.

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a right is not a waiver of it.
